These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Merchant") and ASE, Inc. ("we," "us," "our," or "SuzyAI") governing your access to and use of the SuzyAI application ("App" or "Service").
By installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not install, access, or use the App.
SuzyAI provides an AI-powered email support assistant that integrates with your Shopify store and email client (Gmail or Outlook). The Service:

We may offer a free trial period for new users. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No charges will be made during the trial period.
Your Rights: You may cancel your subscription at any time through the Shopify App Store. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

Our Rights: The Service, including all software, text, images, trademarks, and other content, is owned by ASE, Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Your Rights: You retain all rights to your data, including customer information, store data, and email content. By using the Service, you grant us a limited license to use your data solely to provide the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You acknowledge that the Service provides draft responses that require your review and approval before sending. You are solely responsible for all communications sent to your customers.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless ASE, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
The Service integrates with third-party services including Shopify, Gmail, and Outlook. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, functionality, or security of third-party services.
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you agree to our Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Informal Resolution: Before filing a claim, you agree to contact us at legal@suzyai.com to attempt to resolve the dispute informally.
Jurisdiction: Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction in such courts.
Entire Agreement: These Terms constitute the entire agreement between you and ASE, Inc. regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
No Agency: No agency, partnership, joint venture, or employment relationship is created between you and ASE, Inc. as a result of these Terms.
